Roles of the Board:<\/p><\/div><\/div><div class=\"layoutArea\"><div class=\"column\"><p>\u2022 \u2022 \u2022 \u2022<\/p><p><strong>Article 5: \u2022budgets, advance.<\/strong><\/p><p>\u2e3b<\/p><p><strong>Article 6: \u2022<\/strong><\/p><\/div><div class=\"column\"><p>Chairperson \u2013 Provides leadership and chairs meetings<br \/>Secretary \u2013 Maintains records and correspondence<br \/>Treasurer \u2013 Oversees financial management and reporting<br \/>Trustees \u2013 Provide guidance and oversight for programs and operations<\/p><p>Meetings<br \/>An Annual General Meeting (AGM) shall be held to review activities, approve<\/p><p>and elect Trustees.<br \/>Board meetings shall be held at least quarterly.<br \/>Notice of meetings shall be communicated to members at least 14 days in<\/p><p>Financial Management<br \/>Accurate financial records shall be maintained, annual accounts prepared, and audited by a certified auditor.<\/p><\/div><\/div><div class=\"layoutArea\"><div class=\"column\"><p>\u2e3b<\/p><\/div><\/div><div class=\"layoutArea\"><div class=\"column\"><ul><li><p>Funds shall be used solely to achieve the Foundation\u2019s objectives.<\/p><\/li><li><p>Trustees and staff shall not personally benefit from the Foundation\u2019s funds.<\/p><\/li><\/ul><p>\u2e3b<\/p><p><strong>Article 7: Dissolution<\/strong><\/p><p>\u2022 In the event of dissolution, the Foundation\u2019s assets shall not be distributed<\/p><p>among members but transferred to another non-profit organization with similar objectives, as approved by the Board of Trustees and in accordance with Ugandan law.<\/p><p>\u2e3b<\/p><p><strong>Article 8: Amendments<\/strong><br \/>\u2022 This Constitution may be amended by a two-thirds (2\/3) majority vote of<\/p><p>members present at an AGM or special general meeting.<br \/>\u2022 Notice of proposed amendments must be circulated to all members at least 14 days prior to the
