Governance Structure

Grift of Hope Foundation is governed by a Board of Trustees responsible for strategic decision-making and oversight. The foundation’s operations are managed by an Executive Director supported by program managers, administrative staff, and volunteers. The Board meets quarterly to review progress, approve budgets, and ensure compliance with all regulatory requirements.

Partnerships and Collaborations

The foundation collaborates with local communities, governmental agencies, schools, healthcare providers, and international partners to maximize the impact of its programs and ensure sustainable development for the children it serves.

Our Constitution

 Preamble

We, the members of Grift of Hope Foundation, hereby establish this Constitution to provide a clear framework for governance, operations, and the pursuit of our objectives of supporting vulnerable children through education, feeding, accommodation, healthcare, and sanitation programs, in accordance with the laws of Uganda.

Article 1: Name and Headquarters
• The organization shall be known as Grift of Hope Foundation (hereafter referred

to as “the Foundation”).
• Its headquarters shall be located in Kampala, Uganda, or any other location

determined by the Board of Trustees.

Article 2: Purpose and Objectives

The Foundation is established to support vulnerable children by providing access to:

  • Quality education, school materials, and mentorship programs

  • Nutritious feeding programs

  • Safe accommodation and shelter

  • Basic healthcare services and health education

  • Sanitation and hygiene facilities

    Additionally, the Foundation shall collaborate with communities, government agencies, and partners to promote child welfare and sustainable development.

Article 3: Membership

• Membership shall be open to individuals and institutions who subscribe to the

objectives of the Foundation and are approved by the Board of Trustees.
• Members shall have the right to attend general meetings, vote, and participate

in Foundation activities.

Article 4: Governance
• The Foundation shall be governed by a Board of Trustees consisting of at least

five (5) members.

• The Board shall provide strategic direction, oversee operations, and ensure compliance with legal requirements.

Chairperson – Provides leadership and chairs meetings
Secretary – Maintains records and correspondence
Treasurer – Oversees financial management and reporting
Trustees – Provide guidance and oversight for programs and operations

Meetings
An Annual General Meeting (AGM) shall be held to review activities, approve

and elect Trustees.
Board meetings shall be held at least quarterly.
Notice of meetings shall be communicated to members at least 14 days in

Financial Management
Accurate financial records shall be maintained, annual accounts prepared, and audited by a certified auditor.

  • Funds shall be used solely to achieve the Foundation’s objectives.

  • Trustees and staff shall not personally benefit from the Foundation’s funds.

Article 7: Dissolution

• In the event of dissolution, the Foundation’s assets shall not be distributed

among members but transferred to another non-profit organization with similar objectives, as approved by the Board of Trustees and in accordance with Ugandan law.

Article 8: Amendments
• This Constitution may be amended by a two-thirds (2/3) majority vote of

members present at an AGM or special general meeting.
• Notice of proposed amendments must be circulated to all members at least 14 days prior to the meeting.
